Abstract
O presente estudo começa por uma breve incursão sob
re a evolução
histórica do consensualismo contratual, pondo em de
staque os principais carateres que, nos diversos momentos históricos, se foram evidenciando. De
seguida são explorados os fundamentos dogmáticos do modelo de transmis-
são contratual assumido pelo legislador português e testada a sua viabilidade
no sistema jurídico nacional, dando especial atençã
o ao direito dos valores
mobiliários. Fechando com uma reflexão sobre a nece
ssidade, na prática
mercantil, e inevitabilidade, no sistema jurídico,
da existência de contratos
de compra e venda de natureza meramente obrigacional. Finalmente são tra-
balhados os principais aspetos do regime jurídico aplicável às ações titul
adas
nominativas fora do mercado regulado, em particular, os principais limites à
transmissão, enquanto instrumentos/barreiras ao con
sensualismo contratual,
reforçando com os sistemas de recuperação dos títulos nominativos
The present study begins with a brief incursion on the histo- rical evolution of the contractual consensualism, e mphasizing the main aspects that, in different historical moments, were showed. Forthwith, are explored the dogmatic foundations of the contractua l transmission model assumed by the Portuguese legislator and tested its viability in the entire legal system, giving special attention to securities law. Ending, with a re flec- tion on the necessity in commercial practice and in evitability in the entire legal system the admissibility of the existence of contracts of sale without real effectiveness. Finally, the main aspects of the legal regime appl icable to nominative titled actions outside the regulated market are dealt with, in par - ticular, the main limits to the transmission, as instruments / barrier s to con- tractual consensualism, reinforced with the recover y systems of nominative securities.
