Abstract
Com a presente dissertação pretendemos analisar o enquadramento da cláusula
de reserva de propriedade a favor da financeira à luz da decisão proferida pelo Ac. STJ
de 30-09-2014, em que foi Relatora a Exma. Sra. Doutora Maria Clara Sottomayor.
A cláusula de reserva de propriedade a favor da financeira tem suscitado
imensas dúvidas e teses controversas na doutrina e jurisprudência portuguesa, no
sentido em que surgem teses que rezam a favor da validade mas também da invalidade
da mesma, o que, desde logo despertou o nosso interesse acerca da necessidade de
aprofundamento do estudo acerca desta matéria, uma vez que o tema ora em crise revela
uma preponderância extrema no comercio jurídico da atualidade.
Neste sentido, constituiu nossa linha orientadora de investigação o
aprofundamento da matéria a nível teórico, nomeadamente atender ao conteúdo jurídico
de cada instituto empregue nas teses ora em crise e, neste sentido, investigar toda a
construção jurídica elaborada ao redor da (in) validade da cláusula de reserva da
propriedade a favor da financeira. ara tal, e de modo a exponenciar devidamente a relevância que esta matéria assume nos dias de hoje, importante será ter presente que esta se assume primordial a
nível teórico, nomeadamente no que concerne ao enquadramento e à caracterização do
regime legal que ambas as teses lhe pretendem revestir e, de seguida, atender à
repercussão daquela primeira abordagem no que concerne à efetiva resolução das
questões praticas que se colocam nos tribunais.
Neste sentido, esquematizaremos o nosso estudo em diversos pontos de análise,
nomeadamente a) Apresentação do Tema; b) Delimitação do Objeto de Estudo, nos termos do Ac. STJ de 30-09-2014; c) Contrato de Compra e Venda; d) Contrato de
Mútuo; e) Reserva da Propriedade no Direito Português; f) Reserva da Propriedade no
Contrato de Compra e Venda; g) Sub-rogação no financiador da reserva de propriedade;
h) Analise aos argumentos da tese da validade da cláusula de reserva de propriedade a
favor da financeira; i) Apreciação Critica ao incumprimento do contrato de mútuo; j)
Tese adotada no Ac. STJ de 30-09-2014; k) Posição Adotada e l) Conclusão.
Neste sentido, através do presente estudo, pretendemos abordar a matéria supra
em toda a sua extensão, de maneira a que possamos encerrar, por ora, a presente
investigação com uma tomada de posição fundamentada e, para isso, com o devido
recurso às escritas dos autores que até hoje debruçaram-se sobre a presente
problemática, tal como o recurso à nossa jurisprudência.
The object of the present thesis is the analysis of the legal framework regarding the retention of title clause in favour of the financial entity, based on the decision of the Portuguese Supreme Court (Supremo Tribunal de Justiça - hereinafter STJ) having as rapporteur Maria Clara Sottomayor. The retention clause in favour of the financial entity has been raising many doubts and theories both in the scientific opinion and jurisprudentia concerning its validity or the opposite, that awakened our attention about the need to deepen the study of this object as it assumes a relevant role in nowaday´s trade. In this sense, the guideline of our investigation was based on the theoretical study, namely the legal content of each complex of rules used on the appreciated theories, while investigating the legal construction around the (in) validity of this clause when establish in favour of a financial entity. In order to do so, bearing in mind the need to express the present importance of this matter, it´s important not to forget how relevant is the theoretical study of the legal framework and its explanation both in the thesis that sustain both sides of the question and afterwards, reflecting that study on the pratical issues that courts are summoned to settle. With this objective the structure of our study was study was based mainly in a) The Theme Presentation; b) Explanation of the study object based on the… 30-09-2014 STJ decision; c) The contract of purchase and sale; d) The loan agreement; e) The retention title clause on the Portuguese legal system; f) The retention title clause on the Portuguese contract of purchase and sale; g) Subrogation from the financial entity on the title reservation; h) Analysis in favour of the validity of the retention title clause; i) Critical appreciation of the loan agreement unfulfillment; j) Decision adopted on the 30-09-2014 TJ decision; k) Author´s adopted position and l) Conclusion. Hopefully, the present study will provide a complete vision of the problem throughout its extension, in order to enclose the investigation for now with an argued opinion, considering the contributions of both authors and their scientific research and also the court´s decisions.
